GENERAL PRINCIPLES

World Business Strategist Association (WBSA) is a social welfare organization, which promotes the scientific research of the worldwide development of the business strategy and provides the related services.

The principle of WBSA is to ally the business strategists and organizations all over the world; promote the professional and specialization of business strategist in various areas through the theoretical research developing and professional training; advance the standardization and verification of the business strategic theory through academic exchanges of the members; accelerate the development of worldwide business activities to ecological and organic direction through the combination and cooperation of the members.

The sponsors of WBSA considered that our knowledge economy striding forward to the 21century needs various new economic strategies. New economic strategy needs the economic strategists and business plan masters all over the world to develop, study and put into effect. Therefore, at the joint of centuries, we should first be engaged in uniting the economic strategists and business plan masters worldwide.

The sponsors of WBSA considered that knowledge economy should be the continuously developing economy that promotes the coordination of human being and nature. The leading thoughts of the traditional industrial and technical inventions were all solely utilizing natural resources as many as possible to get the maximum of profit, without or seldom considering the environmental ecological and social profits. As a result, today people have to face the facts that many kinds of natural resources are nearly exhausted and the environmental crisis is intensified day by day. Therefore, our economic strategists standing in the front of the world economy development will be engaged in setting up a business ecological system that is continuously developing and promotes the coordination of human being and nature.

The sponsors of WBSA considered that knowledge economy is the economy that takes intangible assets as its main investment. The traditional industrial economy needed great amount of funds and equipment. The tangible assets played a decisive part. While in knowledge economy, the decisive factor is knowledge, intelligence and the investment of intangible assets. Therefore, our economic strategists and business plan masters should be engaged in merging their knowledge and intelligence into the ecological system and realizing the personal and group value when they are studying new economic strategies and planning new business projects.

The sponsors of the WBSA considered that knowledge economy is the economy that takes knowledge decision as its guide. We have seen that the economic decision, the knowledge of management and the macro-control have shown the tendency to stronger and stronger; many laws of knowledge economy to play more important role in knowledge economy; continuous development has become a common senseto the people all over the world; intangible assets have been paid much attention to; the industry of high technique develops rapidly; the high technical element of the traditional industries increases day by day and so on. Therefore, our economic strategists will be engaged in studying the law of knowledge economy, foreseeing the developing tendency of knowledge economy, and made our business project play a guiding part in the business decision.

The sponsors of the WBSA considered that knowledge economy is the economy under the circumstance of the unification of the world economy.

The premise of the knowledge economys continuous development depending on the investment of intangible assets is evidently the unification of the world economy. At the same time, the industrial technique sphere of the knowledge economy is quite wide. No country, region or economic organization is possible to take overall lead in the existing and new high technique. Therefore, our economic strategists will be engaged in the fully utilization of various countrys, regions and economic organizations natural resources and intelligent resources within the economic framework of the would economys unification, the creation of the various and ecological existing theories and existing environment, and helping every economic organization have its own place in the grand market of world economy.

Basing on the above mentioned understanding of knowledge economy, the sponsors of WBSA set up the basic task and goal of the Association:

Train the professional and occupational business strategist. In the society of knowledge economy, all the economic departments are becoming the organizations, which is based on knowledge and motivated by the increasing of knowledge. Therefore, the labor power enforced by advanced technique and latest knowledge becomes the decisive production element. Facing the swiftly developing knowledge economy, we need to train the professional and occupational business strategic talents to chase and study all kinds of economy development theories, set up various patterns of economy development, plan out different practical business operation projects. Same as the more and more professional of the products of knowledge economy era, the age is calling for the birth of economic strategists and business strategic talents. So, the Association will be first engaged in the training of business strategic talents and making them professional step by step.

Pay much attention to the studying of the economy developing strategy and build up a pluralized and patternalized business strategic theory system. The coming of knowledge economy era causes the important change of economics theories. Its basic characteristic will be the changing from the periodicityof the industrial economy era to the continuityof the knowledge economy era, from the plunderageto ecological nature, from the confinementof the countries and regions to the global unitof the knowledge economy era. Therefore, our economic strategists will devote themselves to setting up a business strategic theory system, which accords with the development of the knowledge economy era. This system is built on the basis of the worlds multipolarity after the cold war; fully respects different people from different countries, regions and areas with different color and religions; studies the similar or different economic laws of the development of their economy, and its theories are pluralistic. To make it easy to study and spread the business theories and successful cases, we advocate the patternalization of various theories and the related cases according to deferent basis and applying sphere of the theories. The pluralistic business strategic theory is the theoretical basis of the ecological existing. The patternalization is beneficial to the exchanging and cooperation among the members.

Set up a business strategic service system, which will serve all the members. The knowledge economy era is an era of ecological existing. Therefore, what our service system shows is the global character and cooperative nature. We will work for building our service system to an ecological system containing the following content:

  1. Having a potent training function
  2. Our association will train professional and occupational business strategist by the pluralistic and patternalized business strategic theories and related cases. This service system should be multiplying and can fully show different characteristics of groups and members.

  3. Having a potent theory studying and exchanging function
  4. Our association will issue the memberslatest business strategic theoretical research achievements, show the latest business strategic cases, recommend our new gifted people of business strategy, exchange the understanding among the members by means of issuing periodical publication, completing theoretical study series irregularly, setting up web site in Internet, holding seminars and conferences etc. the Secretariat and the member units will organize the related members to carry out academic research and exchange on topic theoretical study or business strategy. This function will be the basis of the service system.

  5. Having a potent business strategy spreading function

Our association will widely contact the business strategists all over the world, taking economy developing theories and business strategy cases as basis, and extend the tentacle of business strategy to various kinds of economic spheres and organizations through training, academic exchange and conducting cases strategy for different economic groups.

The goal of WBSA is, to set up and perfect the service system above mentioned, try to make the business strategic theory and practice play a guiding part in the knowledge decision of all kinds of economic sphere and organizations.

WBSA calls for the unity of the business strategists all over the world, taking active parts in promoting the development of the economy and society, and is the guide of knowledge economy.

Chapter I Membership

Article 1 Membership

The system of the Association is membership.
Those organizations or groups that accord with the following conditions admit and consciously observe the constitutions of the Association may apply for enrolment:

a. Any business strategist association of different countries or regions.
b. Any business organizations that are engaged in business strategy in
   the countries or regions without the associations above mentioned.

Those individuals that accord with the following conditions, admit and observe the constitutions of the Association may apply for joining the business strategist association of the country or region. In the areas without the associations above mentioned, individuals may apply directly through the Secretariat of the Association.

  1. Any individual who has got the business strategist qualification.
  2. Any senior manager in medium-sized and upward enterprises.
  3. Any research fellow of the related profession who has titles of vice professor and upwards.

Article 2 Procedure of enrolment

  1. Individuals or organizations submit a written application.
  2. Individual members have a regular member of the Association as their sponsor and submit written introduction reports.
  3. Individual members are examined and passed by primary organizations and reported to the higher association to be put on file; group members should be approved by the higher association or the Association.
  4. The Executive Council or secretariat may absorb members directly if necessary.

Article 3 Rights of the Members

  1. The rights of electing, being elected and rights to vote.
  2. Attending the relevant meetings, discussing the work of the Association and reading the relevant documents and publications.
  3. Taking part in the business strategy activities organized by the Association, reflecting the situation and putting forward proposals and advises.
  4. Raising requests, proposals and criticism to the organizations of the Association.
  5. Asking the relevant groups and organizations for settlement when legal rights are unfeigned.

Article 4 Obligations of the Member

  1. Abiding by the laws of their countries and the countries and regions where they carry out the business activities.
  2. Observing the constitution, implementing the decision, taking part in the activities, and paying membership dues of the Association.
  3. Abiding the professional morals, planning the business strategy, keeping business secrets for the customers.
  4. Summarizing the business strategic theories and relevant cases in time, contributing to the publications of the Association regularly.

Article 5 Members have the freedom of withdrawal, the procedure is:

  1. Individual or groups submit an application.
  2. The association he is in or higher association passed it. If there is no special reason, it is generally passed.
  3. Report to the higher association to put on file.
  4. Put a notice in the publications of the Association.

Article 6 Individuals who do not take part in the activities, do not contact the Association, and do not pay the membership dues continuously for a year with no special circumstance will be regarded as withdrawing automatically. The primary association reports to the higher association, removes the names from the rolls and puts a notice in the publications of the Association.

Chapter II Organizational Principles

Article 7 Organizational Institutions of the Association

  1. The rights of any organizations and individuals should be restrained by the valid institution.
  2. Democratic regulations of minority subordinate to the majority should be carried out in every decisive organization.
  3. All organizations should carry out leader personal responsibility system.
  4. Lower association should be subordinate to the higher association.

Article 8 The organizations of the Association are mainly from countries or regions that have well-developed business activities. The individual members are mainly professional business development strategists and advanced business plan masters. Pay attention to the quality when recruit members, especially to those of typical academic representation. Develop the Association during the work, and for the work. Carry out the policy of combining the development, solidification and training together.

Article 9 The organizations of countries or regions may set up branches according to the reality.

Article 10 The organizations of countries or regions should have their own constitutions that are subordinate to that of the Association.

Chapter III Central Organization

Article 11 The highest organ of power is the WBSA Congress.

Article 12 The WBSA Congress is held every four years. It is invited by the last executive council. And it may be held in advance or postponed when necessary. A temporary WBSA Congress may be held under the request of one-third executive council members, the last executive council the representatives and means of election. The WBSA Congress elects the presidium to preside the conference.

Article 13 The Function and Powers of the WBSA Congress

  1. Listening to and reviewing the Executive Councilreports.
  2. Deciding the policy tasks and important matters of the Association.
  3. Deciding the acceptance of the members units of the countries or regions.
  4. Amending the constitutions of the Association.
  5. Electing the Executive Council members.

Article 14 The Executive Council is elected for a term of four years. The term will change according to holding the WBSA Congress in advance or postponed. When the WBSA Congress is not in session, the Executive Council will exercise its function and authority instead, put its resolution into effect and led the Association.The Executive Council should elect five directors as managing director. The five sponsors assumed office as the first managing directors. As the symbol of the highest power of WBSA, the chairman of the Excutive Council, presides the Executive Council and the WBSA Congress. The managing director assume office as the chairman in turn every year. Others assume office as vice-chairman.

Article 15 The plenary session of the Executive Council is held every year, invited by the Secretariat, and term changes should the Congress takes place in advance or be postponed. The First Executive Council is composed of the sponsors.

Article 16 The Functions and Powers of the Executive Council

  1. Putting the resolution of the WBSA Congress.
  2. Listening to and reviewing the Secretariats working reports.
  3. Discussing and deciding the important matters of the Association.
  4. Electing the chairman, vice-chairman and secretary-general of the Executive Council.

Article 17 When the Executive Council is not in session, the Secretariat will exercise its function and authority, lead the Association. The Secretariat-general is in charge of the Secretariat.

Article 18 The Secretariat may set up several special committees and function organizations according to the requirement. The leaders are decided by the Executive Council.

Article 19 The Executive Council may appoint several vice secretary-generals to help secretariat-general if necessary.

Chapter IV Regional Organizations

Article 20 The Regional Organizations of the Association

  1. The business strategist associations of deferent countries or regions which have joined the Association.
  2. The business organizations that are engaged in business plan in the countries or regions without business strategist associations.
  3. The agency or branch organizations of the organs above mentioned.

Article 21 Regional organizations are highly autonomous. Every association or business organization operates according to its own constitutions.

Chapter V Disciplines

Article 22 To those member units which violate the constitution or disciplines of the Association and are engaged in the operation which is illegal or which breaks the regulations, we propose to reorganize it or deprive their membership qualifications.

Article 23 To those individual members who violate the constitution or disciplines of the Association, his organization will take disciplinary measures against him. The disciplinary measures are divided into three kinds: warning, removing from his post in the Association and dismissing.

Article 24 Those members who break the law of his own country or region will be expelled from the Association automatically.

Article 25 Illegal activities of members will be announced in the periodical publications of the Association.

Chapter VI Funds

Article 26 Sources of Funds

  1. The membership dues of the members.
  2. The income from the business plan cases.
  3. The income from training courses.
  4. The income from publications.
  5. The help and support of organizations and individuals.

Article 27 The Usage of the Funds.

  1. The daily administrative expenditure of the Association.
  2. The expenditure on social welfare.

Chapter VII Supplementary Articles

Article 28 The abbreviation for the Association is WBSA.

Article 29 The legal registered address of the Association is in Hong Kong Special Administrative Region of China.

Article 30 This constitution comes in force after discussed and passed by the WBSA Congress. The amendments to the constitution should be passed by half of the WBSA Congress or two-thirds of the Executive Council.

Article 31 The right to interpret of this constitution belongs to the Executive Council or the Secretariat.
